SBA Mentor-Protégé: Teaming Without Losing Your VOSB Status

The SBA's All Small Mentor-Protégé Program is one of the best growth tools available to a veteran-owned small business: development assistance, past performance borrowing, and the ability to pursue set-aside contracts through joint ventures with an established partner. It also has rules with teeth, because every benefit the program offers could otherwise be used by a large business to wear a small business as a costume. What the Program Actually Offers

An approved mentor-protégé relationship gives the protégé access to:

  • Technical and management assistance, and access to the mentor's resources.

  • Past performance credit through joint ventures under certain set-aside circumstances.

  • Sole-source and set-aside contracts via the joint venture, subject to size and performance rules.

The joint venture itself is a distinct legal entity, typically a separate LLC, and its own compliance obligations, including separate accounting and an SBA-mandated agreement.

Where Small Businesses Get Burned

  • Control drift. The protégé must control the joint venture: management, voting, and ownership percentages within the rules. Deals drafted around the mentor's convenience fail SBA review.

  • Reliance violations. A protégé may have only one federal mentor at a time, and each concern may only have two protégés. Unapproved overlapping relationships void the benefits.

  • The paperwork after the fact. The mentor-protégé agreement and the joint venture agreement must exist before the contracts do. Retrofitting compliance into an operating venture invites size-protest disaster.

  • Graduation math. A mentor-protégé relationship runs three years by default. Build a plan for what the business looks like after, because the safety net is temporary.

The Practical Play

For a VOSB in physical security integration, the right mentor is a large integrator whose portfolio and past performance complement your niche, not a general contractor looking for a pass-through. Vet like you'd vet a subcontractor: references, current agreements, and how they treat their current protégés. If the partnership requires you to stop being the business you certified, it's the wrong partnership.

The program is designed to make you stronger, not smaller. Structure it right, and the status you built keeps working for you.
